Due Diligence, Valuation, and Fund Raising Execution

Purpose: Feasibility, valuation for sell-side and buy-side, capital restructuring, and fundraising 1. Commercial Due Diligence of the Company; - Perform business analysis of the Company based on information/assumptions provided by the Target or the Company - Assist in the execution of management interviews and site visits (if required) - Review and analyze key documents from a business point of view 2. Valuation of the Company; - Collect and validate key assumptions - Conduct valuation (i.e., DCF, relative method) - Perform sensitivity analysis based on changes in key inputs (i.e., impact of change) - Provide valuation result range and recommendation - Prepare valuation report with executive summary 3 Fund Raising Execution; - Make recommendations to reach optimal capital structure / optimal transaction (investment structure) - Advise and assist in negotiation on commercial terms and conditions - Prepare related documents (i.e., information memorandum) and facilitate closing process - Liaise with the Company's professional advisors (if required) *Package price and working time may vary depending on the size of the project and the complexity of the business model. ขั้นตอนการทำงาน 1.
